Terms of Service

1. Definitions
In these Terms of Service, the following terms have the meanings set out below:
- "Kansa" or "Platform" refers to Kansa SRL, a company registered in Bucharest, Romania, and the software platform it operates, including all web applications, mobile applications, APIs, and related services.
- "Business" or "You" refers to the beauty, wellness, aesthetic, or medical-aesthetic service provider that registers for and uses Kansa Business, including its owners, employees, and authorized representatives.
- "Client" refers to end consumers who discover, book, and pay for services through the Kansa marketplace.
- "Services" refers to the beauty, wellness, aesthetic, and medical-aesthetic treatments and procedures that you offer to Clients through the Platform.
- "Platform Services" refers to the tools and features Kansa provides to your Business, including but not limited to: online appointment scheduling, calendar management, client relationship management (CRM), clinical record keeping, payment processing, analytics and business intelligence, marketing tools, AI-powered insights, loyalty program management, staff scheduling, and inventory tracking.
2. Acceptance of Terms
By creating a Kansa Business account, accessing the Kansa Business dashboard, or otherwise using any Platform Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
You represent and warrant that you have the legal authority to enter into this agreement on behalf of your Business entity. If you are accepting these terms on behalf of a company, partnership, or other legal entity, you confirm that you are authorized to bind that entity to these terms.
3. Eligibility
To use Kansa Business, you must meet all of the following eligibility requirements:
- You must be a legally registered business, sole trader, or professional practitioner operating in accordance with the laws of your jurisdiction.
- You must hold all appropriate professional licenses, certifications, and permits required for the services you offer, particularly for medical-aesthetic and healthcare-adjacent treatments.
- The individual creating and managing the account must be at least 18 years of age.
- Your business must operate within the European Economic Area (EEA).
4. Account Registration and Business Listing
When registering for Kansa Business, you agree to the following:
- Provide accurate, complete, and truthful information about your business, including legal name, registration number, address, contact details, and service offerings.
- Keep your business listing up to date at all times, including your address, operating hours, service descriptions, pricing, and staff availability.
- Maintain one owner account per business location. Additional team members may be granted access through the staff invitation system with appropriate permission levels.
- You are fully responsible for all activity that occurs under your account and any staff accounts you authorize.
- Multi-location businesses are managed through the Organizations feature, with each location maintaining its own listing and calendar.
- Kansa reserves the right to verify your business legitimacy, professional credentials, and regulatory compliance, and may reject, suspend, or remove listings that fail verification or violate these terms.
5. Platform Services
Subject to your compliance with these terms and payment of applicable fees, Kansa provides you with access to the following Platform Services:
- Online appointment scheduling, real-time calendar management, and automated booking confirmations and reminders.
- Client relationship management, including client profiles, appointment history, preferences, and communication tools.
- Clinical record keeping, including SOAP notes, treatment plans, consent forms, prescription tracking, and ICD-10 coding.
- Payment processing via Stripe Connect, including online payments, deposits, no-show fees, and automated payouts.
- Analytics and business intelligence dashboards, including revenue tracking, occupancy rates, client retention metrics, and performance reports.
- Marketing and promotion tools, including featured listings, special offers, and campaign management.
- Loyalty program and membership management, enabling you to create and administer client reward schemes.
- AI-powered tools, including Business Coach, Beauty Advisor, sentiment analysis, and revenue intelligence features.
- Review management, including notification of new reviews and response capabilities.
- Staff scheduling, role-based permissions, and team management.
- Inventory and equipment tracking to support day-to-day operations.
Kansa may add, modify, or discontinue specific features at its discretion. Material changes to core Platform Services will be communicated in advance.
6. Business Obligations
As a Kansa Business user, you agree to the following obligations:
6.1 Service Delivery
- Provide services as listed on your profile, at the prices displayed, and to the standard of quality a reasonable consumer would expect.
- Honor all confirmed bookings. If you must cancel, provide reasonable advance notice to the affected Client.
6.2 Professional Standards
- Maintain valid and current professional licenses, certifications, and appropriate business insurance for all services offered.
- For medical-aesthetic and healthcare-adjacent services: employ only qualified practitioners, maintain clinical standards in accordance with applicable regulations, and obtain informed consent from Clients before performing any procedure.
- Maintain a safe, hygienic, and welcoming environment for all Clients in compliance with local health and safety regulations.
6.3 Legal and Ethical Compliance
- Comply with all applicable laws and regulations, including but not limited to the General Data Protection Regulation (GDPR), healthcare and medical regulations, consumer protection laws, anti-discrimination legislation, and tax obligations.
- Respond to client reviews in a professional, constructive, and respectful manner.
- Not engage in discriminatory practices of any kind in the provision of services or the treatment of Clients.
7. Client Data Handling
You acknowledge and agree to the following responsibilities regarding the handling of Client data:
- You act as the data controller for Client data collected and processed through the Platform in connection with the services you provide. Kansa acts as a data processor on your behalf for this data.
- You must obtain explicit, informed consent from Clients before collecting or processing any special category data, including health and medical data, in accordance with GDPR Article 9.
- You must use the Platform's consent form templates or equivalent compliant mechanisms to document informed consent before performing any procedures, particularly medical-aesthetic treatments.
- You are responsible for the accuracy, completeness, and integrity of all clinical records you create, including SOAP notes, prescriptions, ICD-10 codes, and treatment plans.
- Treatment photos require separate, documented consent from Clients. Consent for clinical record use and consent for marketing or promotional use must be obtained independently.
- You must comply with the Data Processing Agreement provisions set out in our Privacy Policy, which governs the processing of personal data through the Platform.
- You must not export, transfer, or share Client data obtained through the Platform in any manner that violates GDPR or other applicable data protection laws.
8. Pricing, Payments, and Fees
8.1 Subscription and Commission Fees
- Access to Platform Services requires a paid subscription. Fees are determined by your selected plan and billed on a monthly or annual basis, as chosen at the time of subscription.
- In addition to subscription fees, Kansa charges a transaction/commission fee as a percentage of bookings processed through the Platform. The applicable rate is specified in your plan details.
8.2 Payment Processing
- Client payments are processed through Stripe Connect. Your use of payment processing is subject to Stripe's terms of service in addition to these terms.
- Payouts to your bank account are issued on a daily, weekly, or monthly schedule based on your configuration within the Platform.
8.3 Pricing and Billing
- All prices displayed are exclusive of Value Added Tax (VAT) unless explicitly stated otherwise.
- Kansa reserves the right to adjust subscription fees, commission rates, or introduce new fees with at least 30 days' prior written notice.
- Late or failed payments may result in temporary suspension of Platform Services until the outstanding balance is resolved.
- Subscription fees are non-refundable for partial billing periods, except where a refund is required by applicable law.
9. Cancellation Policies
Kansa enables you to define and manage your own cancellation and no-show policies for Client bookings:
- You are free to set your own cancellation windows, late cancellation fees, and no-show charges as appropriate for your business.
- Your cancellation policy must be clearly displayed to Clients at the time of booking, before they confirm their appointment.
- You are solely responsible for enforcing your cancellation policies fairly and consistently, in compliance with applicable consumer protection laws.
- The Platform facilitates automated no-show fee collection if you configure this feature. Kansa is not responsible for disputes arising from the enforcement of your cancellation policies.
10. Reviews and Reputation
The Platform includes a review and rating system to help Clients make informed decisions. You agree to the following:
- Clients may leave reviews and ratings based on verified bookings completed through the Platform.
- You may respond publicly to Client reviews through the review management tools provided.
- You must not incentivize or solicit positive reviews, suppress or manipulate negative reviews, or submit fake or misleading reviews for your own business or any competitor.
- Kansa reserves the right to remove reviews that violate Platform community guidelines, including reviews containing hate speech, threats, personally identifiable information, or clearly fraudulent content.
- If you believe a review is fraudulent or violates Platform guidelines, you may submit a dispute for investigation through the review management tools.
11. Intellectual Property
11.1 Your Content
You retain full ownership of all content you upload or create on the Platform, including business photos, descriptions, service details, portfolio images, and promotional materials. By publishing content on the Platform, you grant Kansa a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your content on the Platform and in promotional materials for the purpose of operating and marketing the Platform.
11.2 Kansa's Intellectual Property
Kansa retains all rights, title, and interest in the Platform software, branding, trademarks, AI models, algorithms, data insights, and all other proprietary technology. You may not reverse engineer, decompile, disassemble, copy, or create derivative works based on any part of the Platform or its underlying technology.
12. AI Features Disclaimer
The Platform includes AI-powered features such as Business Coach, Beauty Advisor, sentiment analysis, and revenue intelligence tools. You acknowledge and agree to the following:
- AI-powered features are advisory tools designed to assist your decision-making. They are powered by artificial intelligence and machine learning technologies that generate recommendations based on available data.
- These features are not a substitute for professional business, medical, legal, financial, or regulatory judgment. You should always exercise independent professional judgment when making business decisions.
- Kansa does not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated recommendations, forecasts, or insights for your specific business circumstances.
- You are solely responsible for any business decisions, operational changes, or clinical practices undertaken based on AI-generated insights provided by the Platform.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- Kansa shall not be liable for: Client no-shows or cancellations, disputes between you and your Clients, clinical or medical outcomes arising from services you provide, regulatory non-compliance by your business, loss of revenue or anticipated profits, or any indirect, incidental, special, consequential, or punitive damages.
- The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, beyond those required by mandatory applicable law.
- Kansa's maximum aggregate liability to you for any and all claims arising out of or relating to these terms or your use of the Platform shall not exceed the total fees paid by you to Kansa in the twelve (12) months immediately preceding the event giving rise to the claim.
- Nothing in these terms shall exclude or limit liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Kansa, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- The services you provide to Clients, including any claims related to quality, safety, or clinical outcomes.
- Your violation of any provision of these Terms of Service.
- Your breach of any applicable laws, regulations, or professional standards.
- Data breaches or unauthorized disclosure of personal data caused by your negligence or failure to implement appropriate security measures.
- Content you submit, upload, or publish on the Platform, including any claims of intellectual property infringement.
15. Suspension and Termination
15.1 Suspension by Kansa
Kansa may suspend or restrict your access to Platform Services, with or without prior notice, for any of the following reasons:
- Violation of these Terms of Service or any applicable Platform policies.
- Fraudulent, deceptive, or illegal activity on or through the Platform.
- Non-payment of subscription fees or other amounts due.
- Compliance with legal or regulatory requirements or law enforcement requests.
- Client safety concerns or repeated substantiated complaints.
15.2 Cancellation by You
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to Platform Services until the end of your current billing period. No refund will be issued for the remaining portion of the billing period.
15.3 Effect of Termination
- Upon termination, you will have access to a data export facility for a period of ninety (90) days. After this period, your data will be permanently deleted except where retention is required by applicable law.
- Clinical data retention obligations survive termination. Consent forms and related clinical documentation must be retained for a minimum of ten (10) years in accordance with applicable healthcare regulations.
- Kansa may terminate your account with thirty (30) days' written notice for any reason.
16. Service Availability
Kansa strives to maintain high availability and reliable performance of the Platform. However, you acknowledge and agree that:
- Kansa does not guarantee uninterrupted, error-free, or continuously available access to the Platform.
- Scheduled maintenance windows will be communicated in advance whenever reasonably practicable and, where possible, scheduled during off-peak hours.
- Kansa shall not be liable for any downtime, data loss, or service disruption caused by factors beyond its reasonable control, including but not limited to force majeure events, internet outages, third-party service failures, or cyberattacks.
17. Governing Law and Jurisdiction
These Terms of Service and any disputes or claims arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Romania.
The courts of Bucharest, Romania shall have exclusive jurisdiction to settle any disputes arising out of or in connection with these terms.
This choice of governing law and jurisdiction is without prejudice to applicable European Union regulations, including the General Data Protection Regulation (GDPR) and any mandatory consumer protection provisions under EU law.
18. Dispute Resolution
In the event of any dispute arising out of or in connection with these terms:
- The parties shall first attempt to resolve the dispute through good faith negotiation within a reasonable timeframe.
- If the dispute remains unresolved after thirty (30) days of negotiation, either party may submit the matter to mediation administered by a mutually agreed mediator.
- Either party retains the right to pursue court proceedings in accordance with Section 17 at any time, regardless of whether alternative dispute resolution has been attempted.
19. Changes to Terms
Kansa reserves the right to modify, amend, or replace these Terms of Service at any time, subject to the following:
- You will receive at least thirty (30) days' written notice of any changes via email to the address associated with your account.
- Material changes to these terms will require your explicit acceptance before taking effect. You will be prompted to review and accept updated terms upon your next login after the notice period.
- Continued use of the Platform after the notice period has elapsed constitutes your acceptance of the updated terms.
- If you do not agree with the proposed changes, you may terminate your subscription before the changes take effect, without penalty, in accordance with Section 15.2.
20. General Provisions
- Severability: If any provision of these terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
- Entire Agreement: These Terms of Service, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Kansa regarding your use of the Platform and supersede all prior agreements, understandings, and representations.
- No Waiver: The failure of either party to enforce any right or provision of these terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by the party granting it.
- Assignment: You may not assign, transfer, or delegate your rights or obligations under these terms without Kansa's prior written consent. Kansa may assign its rights and obligations under these terms in the event of a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets.
